Xaviance Biotech (“Xaviance Biotech,” “Company,” “we,” “us,” or “our”) is a corporation organized under the laws of the United States.

These Terms and Conditions (“Terms”) govern all access to our website, purchases of our products, and use of our services.

By accessing our website, submitting an order, or engaging our services, you (“Customer,” “you,” or “your”) agree to be legally bound by these Terms.

2. Intended Use & Eligibility

All products sold or manufactured by Xaviance Biotech are:

  • FOR RESEARCH AND LABORATORY USE ONLY
  • NOT for human consumption
  • NOT for veterinary use
  • NOT for diagnostic, therapeutic, or clinical use
  • NOT FDA-approved

You represent and warrant that:

  • You are at least 18 years old
  • You are a qualified professional or institution authorized to purchase and handle research materials
  • You possess the necessary facilities, equipment, training, and regulatory approvals

3. Regulatory Compliance

You are solely responsible for ensuring compliance with all applicable laws and regulations, including but not limited to:

  • U.S. Food and Drug Administration (FDA) regulations
  • Drug Enforcement Administration (DEA) regulations (if applicable)
  • Occupational Safety and Health Administration (OSHA) standards
  • State, federal, and international import/export laws

Xaviance Biotech makes no representation that products may be lawfully used, imported, or possessed in your jurisdiction.

4. Products and Services

Xaviance Biotech provides:

  • Research peptides
  • Research chemicals and materials
  • Custom biotech manufacturing and synthesis services

Product descriptions, specifications, pricing, and availability are subject to change without notice.

5. Custom Manufacturing Services

For custom manufacturing or synthesis services:

  • All specifications must be submitted in writing and approved before production
  • Quoted timelines are estimates only
  • Custom-manufactured products are non-refundable
  • You assume all responsibility for downstream use, modification, testing, storage, and disposal

Unless otherwise agreed in writing, Xaviance Biotech retains ownership of its methods, processes, and know-how used in custom manufacturing.

6. Orders, Pricing & Payment

  • Prices are listed in U.S. Dollars unless otherwise stated
  • Payment is required prior to shipment unless contractually agreed otherwise
  • We reserve the right to refuse, cancel, or limit orders at our sole discretion

7. Shipping, Title & Risk of Loss

  • Title and risk of loss transfer to you upon shipment
  • You are responsible for appropriate storage and handling upon receipt
  • Shipping delays, carrier errors, or customs holds do not constitute breach

8. Returns, Cancellations & Refunds

Due to the nature of biotech and research materials:

  • All sales are final
  • No returns or exchanges
  • Refunds are issued only in cases of verified Company error or nonconformance

9. Intellectual Property

All website content, trademarks, data, formulations, and documentation are the exclusive property of Xaviance Biotech.

No license or ownership rights are granted except as expressly stated in writing.

10. Disclaimer of Warranties

ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

Xaviance Biotech DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • Merchantability
  • Fitness for a particular purpose
  • Accuracy, purity, or suitability for any application
  • Non-infringement

11. Limitation of Liability

To the maximum extent permitted by law:

  • Xaviance Biotech shall not be liable for indirect, incidental, consequential, or special damages
  • Total liability shall not exceed the amount paid for the product or service giving rise to the claim

12. Indemnification

You agree to indemnify, defend, and hold harmless Xaviance Biotech and its officers, directors, employees, and agents from any claims, damages, or liabilities arising from:

  • Improper or unauthorized use of products
  • Regulatory violations
  • Breach of these Terms

13. Confidentiality

Any non-public information exchanged in connection with custom manufacturing services shall be treated as confidential unless disclosure is required by law or agreed in writing.

14. Governing Law & Venue

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules.

All disputes shall be brought exclusively in state or federal courts located in Wyoming.

15. Modifications

We may update these Terms at any time. Continued use of our services constitutes acceptance of any revisions.
